General conditions

Article 1 – Definitions.

  1. Layouthouse: the company Layouthouse, located at Kerkstraat 6 in Hapert, registered with the Chamber of Commerce under number 91135737.

  2. Client: The natural or legal person who places an order with Layouthouse.

  3. Agreement: the agreements between Layouthouse and the client regarding the provision of services and/or products.

  4. Services: all work performed by Layouthouse, such as branding, printing, web design and hosting.

Article 2 – Applicability.

  1. These terms and conditions apply to all quotations, assignments and agreements of Layouthouse.

  2. Deviations are valid only if they are in writing.

  3. General terms and conditions of the client are not applicable.

Article 3 – Offers and agreements.

  1. Quotes from Layouthouse are without obligation and valid for 30 days unless otherwise stated.

  2. An agreement is established as soon as an offer is confirmed in writing or as soon as Layouthouse begins work.

  3. Changes or extensions to the assignment are considered additional work and will be charged separately, always in consultation with the client.

Article 4 – Execution of the assignment

  1. Layouthouse carries out assignments carefully and professionally.

  2. The client shall provide all necessary information and materials in a timely and complete manner.

  3. Layouthouse cannot be held responsible for delays or damages caused by incorrect or incomplete information.

Article 5 – Prices and payment

  1. All prices do not include VAT unless otherwise indicated.

  2. Invoices must be paid within 14 days of invoice date.

  3. If an invoice is not paid on time, Layouthouse may charge interest and reasonable costs for reminders or collection. This will be done only after prior communication.

Article 6 – Delivery and completion

  1. Delivery dates are always an estimate and not hard deadlines, unless expressly agreed otherwise in writing.

  2. The client must indicate whether the work is approved within 7 days of completion. Without a response, the work is considered accepted.

  3. For printed matter, the client is responsible for checking the proof. Once approved, the printed material cannot be cancelled.

Article 7 – Intellectual property rights

  1. The client becomes the owner of the completed work once the invoice is paid in full.

  2. Until then, ownership remains with Layouthouse.

  3. After full payment, the client may freely use and modify the work. Layouthouse is not liable for any errors or damages subsequently caused by its own adjustments.

  4. Layouthouse reserves the right to use delivered work in portfolio and for promotion, unless otherwise agreed.

Article 7a – Licenses and third-party software.

  1. Third-party software and materials, such as plugins, themes, fonts or stock images, are subject to the license terms of the respective vendor.

  2. Layouthouse can include such software under its own license or advise the client to purchase its own license.

  3. When used under Layouthouse’s license, this applies as long as Layouthouse renews the license. After termination of the cooperation, the client may choose to take out their own license to keep updates and support.

Article 8 – Hosting and domain

  1. When Layouthouse arranges hosting, the technical hosting environment remains under Layouthouse’s management. The client gets full access to the WordPress dashboard.

  2. Domain names are preferably registered in the client’s name. If through Layouthouse, the domain name can always be transferred upon request.

  3. Layouthouse strives to provide a safe and stable environment, but cannot give an absolute guarantee against failures beyond its control.

Article 9 – Backups and maintenance

  1. Daily backups and monitoring of their operation are included in the maintenance package.

  2. Without a maintenance package, the client is responsible for creating and managing backups.

  3. Maintenance and security updates are only within a maintenance package. Without a maintenance package, the client is responsible for updates and security themselves.

  4. Layouthouse makes every effort to provide a secure environment, but cannot guarantee absolute protection against failures, hacks or data loss.

Article 10 – Management

  1. The client always gets full access to the WordPress management of the website.

  2. Layouthouse may simplify the dashboard for ease of use. Upon request, this can always be reset to full access.

  3. Layouthouse retains technical access for management and support unless otherwise agreed.

Article 11 – Liability

  1. Layouthouse is liable for direct damages that can be proven to be the result of a mistake made by Layouthouse, up to a maximum of the invoice amount of the order in question.

  2. Layouthouse is not liable for indirect damages, such as lost profits or reputational damage.

  3. Damage due to improper use of the completed work is not the responsibility of Layouthouse.

Article 12 – Force majeure

  1. In the event of force majeure, performance of the contract may be postponed or terminated without obligation to pay compensation.

  2. Force majeure includes circumstances beyond Layouthouse’s control, such as outages, illness or network problems.

Article 13 – Termination

  1. Either party may terminate the agreement in writing with 30 days’ notice, unless otherwise agreed upon.

  2. In the event of early termination by the client, Layouthouse shall be entitled to payment for work already completed.

  3. Ongoing services such as hosting and maintenance are billed on an annual basis and are terminable on an annual basis. Notice of termination must be given in writing at least 14 days prior to the renewal date.

  4. Printing cannot be cancelled after proof approval.

Article 14 – Applicable law and disputes

  1. All agreements with Layouthouse are governed by Dutch law.

  2. Disputes will be submitted to the competent court in the region where Layouthouse is located.

Article 15 – Final provisions

  1. If any provision is found to be invalid, the remaining provisions shall remain unaffected.

  2. Layouthouse may amend these terms and conditions. Changes will always be communicated to the client in a timely manner.
